Dolby is hiring an experienced contracts manager to lead Dolby’s contracts administration function for expense-side contracts by consolidating existing processes into new, streamlined workflows. Reporting to the Legal Director, Legal Operations, the Contracts Manager will be responsible for building a successful contracts management program that is responsive to the business needs of the organization while managing risk and adhering to company policies. The Contracts Manager will also be responsible for creating forms, negotiating agreements, obtaining necessary internal approvals and archiving a wide variety of expense-side agreements. The Contracts Manager will work closely with all Dolby departments on a wide range of agreements including independent contractor/consulting agreements, purchasing and service contracts, vendor service agreements, agreements related to the sale and servicing of finished goods and in-bound software licensing agreements. In the longer term, the Contracts Manager will be a key stakeholder in developing new IT systems to facilitate the contract administration function. The successful candidate will be comfortable managing numerous contracts at one time while remaining responsive to and communicative with internal clients. Since this is a newly created position for Dolby, the successful candidate must enjoy the challenge of building a successful function from the ground up.

Responsibilities:
- Manage and track a wide variety of expense-side agreements across the company from initial contract request to form generation, negotiation (partnering with attorneys as needed), receiving and tracking necessary approvals, execution and archival.
- In partnership with Legal Operations, create necessary form agreements to address a variety of situations, with the length and complexity of the agreement appropriately scaled to the risks and size of the transaction. Develop playbooks and processes to enable consistency in agreements where more customized forms are necessary.
- Develop, communicate and drive successful adoption of processes, procedures and policies (as needed) around contracts administration with cross-functional partners and internal clients.
- Using existing IT resources, maintain electronic system for filing executed agreements and relevant correspondence to enable prompt retrieval. Longer term, act as business lead for expense-side contracts in implementing new IT systems to support the contract administration function.
- Create a reporting system to regularly evaluate the flow and status of non-revenue producing agreements and the time to execution to enable generation of statistics that will inform resources dedicated to the function.
- Perform duties as assigned by immediate supervisor, VP, Legal Operations or General Counsel.

Qualifications:
- The ideal candidate will have a minimum of seven years of direct experience in contract administration, will have held a senior position in the contracts administration function for a U.S. headquartered public company with global operations and will be able to offer sound judgment on key decisions in developing the contracts administration function.
- B.A. or B.S. degree required.
- Knowledge of contract administration best practices for companies similarly sized to Dolby.
- Experience in drafting and negotiating a wide variety of contracts including professional and consulting services, purchasing and services, and in-bound software licensing agreements. Experience with intellectual property issues, assignment of inventions and confidentiality agreements strongly preferred.
- Substantial experience implementing an IT contracts management solution.
- Flexible mindset, willingness to do hands on work and ability to define a vision for the function.
- Excellent oral and written communication skills enabling production of error-free work.
- A high level of professionalism, reliability, discretion and confidentiality.
- Self-starter who will continuously look for opportunities to improve processes.
- A high degree of familiarity with Word, enabling creation of polished documents, and Excel, enabling creation of spreadsheets with medium to advanced features.
- Must be comfortable managing competing priorities and frequent interruptions while maintaining close attention to detail, accuracy and timeliness.
- A proactive, collaborative and flexible mindset is essential. The successful candidate will actively seek out ways to contribute to the efficiency of the Corporate Legal Group and will diligently work to accomplish projects without prompting while exercising good judgment in elevating appropriate decisions to an attorney.
