Dolby is hiring an experienced Contracts Manager to assist in managing the licensing contract process under the direction of an attorney in the Legal Operations group in the Legal department. The Associate Contracts Manager will be responsible for contributing to a successful contracts management program that is responsive to the business needs of the organization while managing risk and adhering to company policies. The Associate Contracts Manager will also be responsible for creating forms, negotiating agreements, obtaining necessary internal approvals and archiving a wide variety of licensing and revenue generating agreements. In the longer term, the Associate Contracts Manager will be a key stakeholder in implementing new contract management systems to facilitate the contract administration function. The successful candidate will be comfortable managing numerous contracts at one time while remaining responsive to and communicative with internal clients.

Responsibilities:

• Provides negotiation support including handling document revisions and circulating/tracking documents to all parties involved in the negotiations. Log, file, and follow documents throughout the process, including agreement execution. Prepare initial drafts of non-standard contracts or amendments for attorney review.

• Contributes to the planning of the negotiation schedule, arranges teleconference calls, coordinates meeting arrangements, prepares meeting agendas, and provides meeting support on a consistent basis and with limited direction.

• Acts as the primary point of contact within the office and department to answer routine questions regarding agreements.

• Independently manages and completes projects assigned by Legal Operations attorneys (e.g., generates monthly license transaction reports, creates new agreement types, and manages the updating of agreements).

• Applies knowledge and understanding of Dolby policies and procedures to internal and external customers.

• Creates status reports on outstanding legal agreements and project reports on all outstanding projects.

• Sets project time frames and priorities based on project objectives and ongoing assignments.

• Works on various projects to improve/optimize internal operating procedures.

Qualifications:

• The ideal candidate will have a minimum of seven years of direct experience in contract administration, will have held a senior position in the contracts administration function for a U.S. headquartered public company with global operations and will be able to offer sound judgment on key decisions in developing the contracts administration function.

• B.A. or B.S. degree required.

• Knowledge of contract administration best practices for companies similarly sized to Dolby.

• Experience in drafting and negotiating a wide variety of contracts including technology and software licensing agreements.

• Substantial experience implementing a contracts management solution.

• Flexible mindset, willingness to do hands on work and ability to define a vision for the function.

• Excellent oral and written communication skills enabling production of error-free work.

• A high level of professionalism, reliability, discretion and confidentiality.

• Self-starter who will continuously look for opportunities to improve processes.

• A high degree of familiarity with Word, enabling creation of polished documents, and Excel, enabling creation of spreadsheets with medium to advanced features.

• Must be comfortable managing competing priorities and frequent interruptions while maintaining close attention to detail, accuracy and timeliness.

• A proactive, collaborative and flexible mindset is essential. The successful candidate will actively seek out ways to contribute to the efficiency of the Legal Operations group and will diligently work to accomplish projects without prompting while exercising good judgment in elevating appropriate decisions to an attorney.
